Trovecs Terms of Service

These Terms of Service ("Terms") govern your access to and use of Trovecs, operated by STRATACUBE Inc. ("Trovecs," "we," "us," or "our"), including our website, application, software, features, and related services (collectively, the "Service").

By creating an account, accessing the Service, or using the Service, you agree to these Terms. If you are using the Service on behalf of a company, organization, agency, or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" and "Customer" refer to that entity.

If you do not agree to these Terms, you may not access or use the Service.

1. Eligibility and Authority

You must be at least eighteen (18) years old and legally able to enter into a binding agreement to use the Service.

If you use the Service on behalf of a company, agency, brand, or other organization, you represent and warrant that:

  • You have authority to act on behalf of that organization.
  • You have authority to bind that organization to these Terms.
  • Your use of the Service will comply with these Terms and all applicable laws.

Trovecs may refuse access to the Service, suspend accounts, or terminate accounts where we reasonably believe a user does not meet these requirements.

2. Accounts and Account Security

To use certain features of the Service, you may need to create an account.

You agree to provide accurate, current, and complete account information and to keep that information updated.

You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activity that occurs under your account.
  • Ensuring that only authorized users access your account.
  • Promptly notifying Trovecs if you suspect unauthorized access or misuse of your account.

Trovecs is not responsible for losses caused by unauthorized use of your account unless caused by our failure to use commercially reasonable security measures.

You may not share individual login credentials among multiple users unless expressly permitted by your subscription plan or by Trovecs in writing.

3. Description of the Service

Trovecs provides software and related services that help customers process, organize, evaluate, and use digital assets and related business information.

Trovecs may connect to third-party storage services that you authorize, such as Google Drive or other supported storage providers ("Connected Storage Providers"). Trovecs accesses only the files, folders, and information that you authorize through the applicable authorization process.

Trovecs is not intended to replace your primary file storage, backup system, digital asset management system, or system of record. Original files remain in your Connected Storage Provider and under your control. Trovecs may temporarily process authorized files and may generate service-related data necessary to provide the Service.

Trovecs may update, modify, suspend, or discontinue features of the Service from time to time. We will use commercially reasonable efforts to avoid materially reducing core functionality for paying customers during an active subscription term, except where changes are necessary for security, legal compliance, technical reliability, or other legitimate business reasons.

4. Customer Content and Connected Storage Providers

4.1 Ownership of Customer Content

As between you and Trovecs, you retain all right, title, and interest in and to your Customer Content.

These Terms do not transfer ownership of your Customer Content to Trovecs.

Trovecs owns all rights, title, and interest in the Service, including the software, user interface, documentation, algorithms, workflows, trademarks, and other intellectual property comprising the Service.

4.2 License to Trovecs

You grant Trovecs a limited, non-exclusive, worldwide, royalty-free license to access, process, transmit, display, copy, and otherwise use your Customer Content solely as necessary to:

  • Provide the Service you request.
  • Maintain and support the Service.
  • Protect the security and integrity of the Service.
  • Comply with applicable law.
  • Enforce these Terms.

This license terminates when your Customer Content is deleted from the Service, except to the extent retention is required by applicable law or described in our Privacy Policy.

4.3 Connected Storage Providers

Certain features of the Service require you to connect a third-party Connected Storage Provider, such as Google Drive.

You are solely responsible for:

  • Maintaining your accounts with Connected Storage Providers.
  • Ensuring you have sufficient rights to authorize Trovecs to access Customer Content.
  • Managing permissions granted to Trovecs.
  • Maintaining backup copies of your original files.

Trovecs is not responsible for the availability, security, policies, or performance of any Connected Storage Provider.

4.4 Original Files

Trovecs is not the system of record for your original files.

Your original files remain stored in your Connected Storage Provider and under your control. Except as described in our Privacy Policy, Trovecs does not permanently store your original files.

You acknowledge that deleting, moving, renaming, revoking access to, or otherwise modifying files within your Connected Storage Provider may affect the functionality of the Service.

5. Customer Responsibilities

You are responsible for:

  • Maintaining accurate account information.
  • Ensuring that all users accessing the Service under your account are authorized to do so.
  • Maintaining the confidentiality of your login credentials.
  • Ensuring that you have all necessary rights and permissions to provide Customer Content to the Service.
  • Complying with all applicable laws and regulations.
  • Reviewing information, recommendations, analyses, and other outputs generated by the Service before relying upon them for business decisions.

You agree not to use the Service in any manner that violates applicable law or infringes the rights of any third party.

6. Acceptable Use

You agree not to, and will not permit others to:

  • Use the Service for any unlawful, fraudulent, or unauthorized purpose.
  • Upload, connect, or process Customer Content that you do not have the legal right to use.
  • Attempt to gain unauthorized access to the Service or its underlying systems.
  • Interfere with or disrupt the operation, security, or availability of the Service.
  • Circumvent or attempt to circumvent security measures or access controls.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Service, except to the extent such restriction is prohibited by applicable law.
  • Use automated means to scrape, crawl, copy, or extract data from the Service except through features expressly provided by Trovecs.
  • Introduce viruses, malware, ransomware, or other malicious code into the Service.
  • Use the Service in a manner that could damage, disable, overburden, or impair the Service or interfere with other users' access.
  • Use the Service to develop, benchmark, train, or improve a competing product or service.

Trovecs may investigate suspected violations of these Terms and may suspend or terminate access to the Service where we reasonably believe a violation has occurred.

7. Artificial Intelligence and Automated Processing

Trovecs uses automated technologies, including artificial intelligence ("AI"), to provide certain features of the Service.

You acknowledge and agree that:

  • Automated processing is used only to provide the functionality you request.
  • AI-generated analyses, recommendations, classifications, and other outputs are intended to assist users and should be reviewed before being relied upon for business or commercial decisions.
  • You remain responsible for verifying the accuracy and suitability of any outputs generated by the Service.

Trovecs may use trusted third-party service providers to perform automated processing on our behalf. Such providers process Customer Content only in accordance with our instructions and applicable contractual obligations.

Except as described in our Privacy Policy, Trovecs does not use Customer Content to develop, train, or improve generalized artificial intelligence or machine learning models.

8. Third-Party Services

The Service may integrate with or depend upon third-party products and services, including Connected Storage Providers and payment processors.

Your use of those third-party services is governed by their own terms and privacy policies.

Trovecs is not responsible for:

  • The availability or performance of third-party services.
  • Changes made by third-party providers.
  • Loss of functionality resulting from actions taken by third-party providers.
  • Your relationship with any third-party provider.

If a Connected Storage Provider changes or withdraws APIs, permissions, or functionality, Trovecs may modify or discontinue related features without liability.

9. Fees, Billing, and Subscription Terms

Certain features of the Service require a paid subscription.

By purchasing a subscription, you agree to pay all applicable fees, taxes, and charges associated with your selected plan.

Unless otherwise stated:

  • Subscription fees are billed in advance.
  • Fees are non-refundable except where required by applicable law.
  • Taxes are your responsibility unless otherwise stated.
  • Prices may change upon reasonable advance notice.

Trovecs uses third-party payment processors to process payments. Trovecs does not store complete payment card information.

If payment cannot be successfully processed, Trovecs may suspend or terminate access to paid features until payment is received.

10. Free Trials

Trovecs may offer free trials, beta programs, promotional access, or evaluation accounts.

Unless otherwise stated:

  • Free trials are provided solely for evaluation purposes.
  • Trovecs may modify or terminate a free trial at any time.
  • At the end of the trial period, continued use may require purchase of a paid subscription.

Data created during a trial may be retained or deleted in accordance with the Privacy Policy.

11. Intellectual Property

The Service, including its software, source code, object code, designs, interfaces, documentation, trademarks, logos, workflows, algorithms, and other content made available by Trovecs, is owned by STRATACUBE Inc. or its licensors and is protected by applicable intellectual property laws.

Except for the limited rights expressly granted under these Terms, no ownership or intellectual property rights are transferred to you.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, sell, license, or exploit the Service except as expressly permitted by these Terms.

12. Feedback

If you provide suggestions, ideas, feature requests, comments, or other feedback regarding the Service ("Feedback"), you grant Trovecs a perpetual, irrevocable, worldwide, royalty-free, transferable license to use, modify, publish, and incorporate that Feedback into the Service without compensation or obligation to you.

You represent that providing such Feedback does not violate the rights of any third party.

13. Confidentiality

Each party may receive confidential information from the other in connection with the Service.

Each party agrees to:

  • Protect confidential information using at least reasonable care.
  • Use confidential information only for purposes related to these Terms.
  • Not disclose confidential information except as permitted by these Terms or required by law.

Confidential information does not include information that:

  • Is or becomes publicly available without breach of these Terms.
  • Was already lawfully known by the receiving party.
  • Is independently developed without reference to the confidential information.
  • Is lawfully received from another source without confidentiality obligations.

The confidentiality obligations in this Section survive termination of these Terms.

14. Warranties and Disclaimers

Trovecs strives to provide a reliable and secure Service. However, except as expressly provided in these Terms, the Service is provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by applicable law, Trovecs disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from a course of dealing or usage of trade.

Trovecs does not warrant that:

  • The Service will be uninterrupted, error-free, or always available.
  • The Service will detect, identify, or prevent every issue affecting Customer Content.
  • Information, recommendations, analyses, classifications, or other outputs generated by the Service will always be complete, accurate, or suitable for your particular business needs.
  • Third-party services or Connected Storage Providers will remain available or continue operating as they do today.

You acknowledge that you are responsible for reviewing and validating information generated by the Service before relying upon it for operational, commercial, legal, or compliance decisions.

Nothing in these Terms limits warranties that cannot legally be excluded under applicable law.

15. Limitation of Liability

To the maximum extent permitted by applicable law, neither Trovecs nor its officers, directors, employees, affiliates, licensors, or service providers shall be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of goodwill, business interruption, loss of data, or loss of business opportunities arising from or relating to the Service, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Trovecs' total cumulative liability arising out of or relating to the Service or these Terms shall not exceed the greater of:

  • The total fees paid by you to Trovecs during the twelve (12) months immediately preceding the event giving rise to the claim; or
  • One hundred U.S. dollars (US$100), if no fees have been paid.

Nothing in these Terms limits liability that cannot legally be limited under applicable law.

16. Indemnification

You agree to defend, indemnify, and hold harmless STRATACUBE Inc., Trovecs, and their officers, directors, employees, affiliates, contractors, licensors, and service providers from and against any third-party claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service.
  • Your Customer Content.
  • Your violation of these Terms.
  • Your violation of applicable law.
  • Your infringement of any third-party rights.

Trovecs will promptly notify you of any claim subject to indemnification and will reasonably cooperate in the defense of such claim.

17. Suspension and Termination

You may stop using the Service at any time.

Trovecs may suspend or terminate your access to the Service immediately if we reasonably believe:

  • You have violated these Terms.
  • Your use presents a security risk.
  • Your use could harm the Service or other users.
  • We are required to do so by law.

We may also terminate your account if the Service is discontinued.

Termination does not relieve either party of obligations that accrued before termination.

Sections concerning intellectual property, confidentiality, payment obligations, disclaimers, limitation of liability, indemnification, dispute resolution, and any provisions that by their nature should survive termination will remain in effect after termination.

18. Changes to the Service

We continuously improve the Service.

Accordingly, Trovecs may add, modify, replace, or discontinue features, functionality, integrations, or components of the Service.

Where reasonably practical, we will provide advance notice of material changes that adversely affect paying customers.

We may also modify the Service without prior notice where necessary to:

  • Protect security.
  • Comply with applicable law.
  • Address technical issues.
  • Prevent abuse or misuse.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.

The parties agree to attempt in good faith to resolve any dispute through informal discussions before initiating legal proceedings.

If a dispute cannot be resolved informally, it shall be brought exclusively in the state or federal courts located in Alameda County or Santa Clara County, California, and each party consents to the jurisdiction of those courts.

Nothing in this Section prevents either party from seeking temporary injunctive or equitable relief to protect its intellectual property, confidential information, or other legal rights.

20. Miscellaneous

20.1 Entire Agreement

These Terms, together with our Privacy Policy and any documents expressly incorporated by reference, constitute the entire agreement between you and Trovecs regarding the Service and supersede all prior or contemporaneous agreements, understandings, communications, and proposals relating to the Service.

20.2 Order of Precedence

If there is any conflict between these Terms and a separately executed Order Form, subscription agreement, Enterprise Agreement, or other written agreement signed by both parties, that separately executed agreement will control solely with respect to the subject matter of the conflict.

If Trovecs and the Customer enter into a Data Processing Addendum ("DPA"), the DPA will control solely with respect to the processing of personal information to the extent of any inconsistency with these Terms.

20.3 Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its original intent to the greatest extent permitted by law.

20.4 No Waiver

Trovecs' failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision. Any waiver must be in writing and signed by an authorized representative of Trovecs.

20.5 Assignment

You may not assign or transfer these Terms or any rights or obligations under these Terms without Trovecs' prior written consent.

Trovecs may assign or transfer these Terms, in whole or in part, without restriction in connection with a merger, acquisition, corporate reorganization, sale of assets, financing transaction, or by operation of law.

20.6 Independent Contractors

The relationship between you and Trovecs is that of independent contracting parties.

These Terms do not create any partnership, joint venture, agency, employment, fiduciary, or other similar relationship between the parties.

No third party is intended to be a beneficiary of these Terms unless expressly stated otherwise.
